Our client is a dynamic charity and trading subsidiary in the medical-research field. With a 40-year reputation for excellence, they provide a high-quality contract-research and medical-recruitment service, as well as managing conferences and clinical-fellowship programmes, raising funds and awarding grants.
The Role
Joining a very small team, and reporting to the CEO, this varied role is fundamental to the effective governance of the charity and its trading subsidiary and their charitable and business activities. Responsibilities include:
To deliver the entities’ corporate-governance administration, including:
• maintaining company registers, undertaking identity verification and due diligence checks
• correspondence and filing with Companies House, Charity Commission and Pensions Regulator
• scheduling and booking meetings for the Boards and committees
• drafting and circulating papers, and attending and drafting minutes, for the companies’ Boards and committees
• undertaking and coordinating Board and committee actions as necessary
• planning and delivering the companies’ AGMs
• maintaining, reviewing and updating companies’ policies, risk register and business continuity plan
• contributing to the production of the companies’ annual reports and accounts
To be the main point of contact and co-ordinate activity in various areas of corporate and business administration, including:
• lead on risk register management actions and on business continuity planning
• lead on data protection governance and IT security and functionality
• assist with human resources management as necessary
• correspondence and annual renewals with insurance brokers
• correspondence with and completing forms for banks and HMRC
• correspondence with external payroll and pension providers as necessary
• assisting preparations for the external audit and production of pre-deliverables
The Candidate
This is a varied governance role, requiring both breadth and depth of experience, and knowledge and skills in the charity and commercial sectors. Self-motivated, with a keen customer focus and attention to detail, this role will suit a highly competent multi-tasker, eager always to provide the best possible service to the highest possible quality.
You’ll have:
• Relevant corporate-governance certification or equivalent
• Experience in corporate governance/admin experience in the charity sector
• Experience of providing core company-secretary functions, especially registers and committees
• Knowledge of corporate-governance requirements for charities and small businesses
• Knowledge of corporate data-protection and document-retention requirements
• Knowledge of risk management and business-continuity planning
• Excellent numeracy, and oral and written communication skills
• Meticulous electronic and paper filing and cataloguing skills
• Excellent IT skills
• Happy working autonomously, and flexibly with others, to meet deadlines
• Attention to detail and respect for commercial confidentiality at all times
Terms
• This role if offered on a part-time basis seeking 8 hrs/wk (0.2 FTE)
• A salary of up to £50,000 FTE* is available, depending on experience (£10k actual for 8 hrs/wk)
• There is flexibility as to how the hours are worked
• There is an office base in London (ideally some office time once/week or every other week), EC1 and regular home-working is available
• 30 days annual leave (FTE*) plus bank and public holidays
